Sean F. Reid has 15 years of broad experience in mergers and acquisitions, equity and debt capital markets transactions, public company reporting and compliance, start-up and venture capital financings, and corporate governance matters. He represents publicly traded and closely-held domestic and foreign corporations across a wide range of industries, including biotechnology, cannabis, financial services, life sciences, medical device, pharmaceutical and professional services. As an attorney and certified public accountant, Sean offers his clients a unique perspective on a variety of issues, including choice of entity considerations, structuring of complex transactions, as well as reorganization and dissolution of public and private companies.  

Securities Regulation and Corporate Governance

Sean represents public companies in their ongoing compliance needs related to U.S. federal securities laws matters, SEC reporting obligations, the preparation and filing of registration statements, trading and disclosure practices, and Sarbanes Oxley complianceSean also counsels boards of directors on fiduciary duties, executive compensation, and corporate governance obligations.

Capital Market Transactions

Sean's capital markets experience includes representing clients on a variety of public and private offerings of securities, including initial public offerings, secondary offerings, public offerings of SPACs, private investments in public equity (PIPEs), seed, angel and venture capital financings.

Mergers and Acquisitions

Sean represents buyers, sellers, and financial advisors in domestic and international M&A transactions, and serves clients in purchases and sales of both private and public companies, carve-out transactions, and joint ventures. 

Prior Relevant Experience

Before joining Porzio, Sean was a partner in the corporate group of a national law firm. Prior to becoming an attorney, Sean was a member of the audit practice of Deloitte for five years.
